1. Acceptance Of Terms

These Terms of Service govern the relationship between you and Downrange Bike Works LLC, a bicycle assembly, fitting and repair workshop located at 5197 W Wells Park Rd Ste 220B, West Jordan - 84081-6076, United States (US). By using this website, booking a service, delivering a bicycle to our bench or purchasing any work from us, you agree to these terms. Please read them carefully before you engage our workshop.

If you do not accept these terms, you should not use the website or purchase our services. If you are entering into this agreement on behalf of a company or another person, you confirm that you have authority to bind that party to these terms. These terms apply in addition to our Privacy Policy, which explains how we handle personal information.

2. Definitions

In these terms the following words carry the meanings set out below. Where a word is capitalised, it refers to the defined meaning rather than the ordinary sense of the word.

  • Company means Downrange Bike Works LLC, operating the workshop at the West Jordan address given in the acceptance section.
  • Customer means the person or entity that requests or purchases work from the Company.
  • Bicycle means any cycle, electric cycle, frame, fork, component or accessory delivered to the Company for work.
  • Work means any assembly, fitting, adjustment, repair, service, inspection or consultation performed by the Company.
  • Bench Slot means a reserved period during which the Company will perform Work on a Bicycle.
  • Estimate means the Company written or verbal indication of likely cost before Work begins.
  • Quotation means a fixed price offered by the Company for a defined scope of Work.
  • Website means the pages published by the Company under its own domain name.

3. Scope Of Services

The Company provides bicycle workshop services from its West Jordan facility. The standing service lines are Custom Bike Assembly, Professional Bike Fitting, Tune-Up and Safety Checks, Wheel Building and Truing, Drivetrain Overhauls, and Suspension Service and Setup. Additional work may be offered where the Company has the skill, tools and parts to complete it safely.

The Company performs Work on road, gravel, mountain, touring, commuting and electric bicycles. Work is carried out to the standards published by the relevant component manufacturers where those standards exist, and to recognised workshop practice where they do not. The Company may decline any Work that it cannot perform safely, that falls outside its competence or that involves a Bicycle with damage too extensive to repair.

Advice given by the Company, whether written or verbal, is provided in good faith based on the condition of the Bicycle at the time of inspection. The Company is not responsible for faults that were not visible during a reasonable inspection or that developed after the Work was completed.

4. Booking And Scheduling

Bench Slots are arranged by telephone, email or the enquiry form on the Website. A Bench Slot is confirmed only when the Company acknowledges it. Until confirmation is given, no appointment exists and the Company has no obligation to reserve workshop capacity.

The Customer should provide accurate information when booking, including the make, model, approximate age and the specific Work required. If the Bicycle turns out to need more time or different parts than described, the Company will inform the Customer and may need to reschedule the remainder of the Work.

The Company may reschedule a Bench Slot for reasons including staff availability, parts delays, equipment servicing or weather. Where the Company reschedules, it will offer the earliest reasonable alternative and will not charge for the change. The Customer may reschedule without charge with reasonable notice; repeated late cancellations may affect future booking priority.

5. Estimates And Quotations

An Estimate reflects the Work the Company expects to perform based on what can be seen and measured at intake. Hidden damage, seized fasteners, worn threads and previously incorrect assembly can only be discovered once the Bicycle is disassembled, and these discoveries may change the cost.

A Quotation is a fixed price for a defined scope of Work. A Quotation remains valid for the period stated on it and assumes that the Bicycle matches the description supplied by the Customer. If the Bicycle differs materially from that description, or if the Customer requests additional Work, the Company will issue a revised Quotation before proceeding.

Where the likely cost of additional Work exceeds the original Estimate by more than a reasonable margin, the Company will contact the Customer for approval before continuing. If the Customer cannot be reached within a reasonable period, the Company may complete only the authorised portion of the Work and return the Bicycle in a safe condition.

6. Pricing And Payment

Prices for Work and parts are those confirmed at booking or at the time the Work is authorised. The Company may charge for labour by the hour, by the job or by a published service rate, and will state the basis before Work begins.

Payment is due on collection unless the Company agrees otherwise in writing. The Company accepts the payment methods advertised at the workshop and through its payment provider. Where a deposit is required to order special order parts, the deposit is non refundable once the part has been ordered, because the part cannot generally be returned to the supplier.

Overdue accounts may be subject to reasonable administrative charges where permitted by law, and the Company may retain possession of a Bicycle until outstanding amounts for that Bicycle are paid, to the extent the law allows a mechanic lien or similar remedy. The Customer remains responsible for all amounts due regardless of when the Bicycle is collected.

7. Parts And Components

The Company may supply parts directly or fit parts supplied by the Customer. Where the Company supplies a part, the part carries the warranty offered by its manufacturer, and the Company will assist the Customer in pursuing a warranty claim within the manufacturer terms.

Where the Customer supplies a part, the Company will inspect it before fitting and may decline to fit a part that appears incompatible, counterfeit, damaged or unsafe. The Company does not warrant customer supplied parts, and the Customer accepts responsibility for their quality, provenance and compatibility.

Replaced parts are returned to the Customer on request. If the Customer does not request them, the Company will dispose of used parts responsibly. Parts that present a safety or environmental hazard, such as damaged batteries or contaminated fluids, will be handled according to applicable disposal rules.

8. Authorisation To Work

By delivering a Bicycle to the Company and confirming a Bench Slot, the Customer authorises the Company to perform the agreed Work and any reasonable associated tasks, such as cleaning, lubrication, fastener tightening and test riding, that are necessary to complete the Work safely.

The Customer confirms that they own the Bicycle or have authority from the owner to authorise the Work. If a third party holds an interest in the Bicycle, the Customer is responsible for obtaining that party consent before Work begins.

Test riding is a necessary part of quality control. The Company may ride the Bicycle on public roads or nearby trails to verify function. The Customer accepts that normal test riding involves ordinary wear and a small risk of damage, and the Company will exercise reasonable care during any test ride.

9. Customer Responsibilities

The Customer agrees to provide accurate information about the Bicycle and its history, including any previous repairs, crashes, modifications or known faults. Withholding relevant information may result in unsafe Work and may void any goodwill warranty offered by the Company.

  • Remove personal items, accessories, bags and devices from the Bicycle before delivery.
  • Inform the Company of any battery, hydraulic, electronic or structural concern.
  • Collect the Bicycle within the agreed period and pay all amounts due.
  • Follow any aftercare instructions provided, including bedding in periods and re torque checks.
  • Report any problem with completed Work promptly, so that it can be inspected before further use.

The Customer is responsible for the Bicycle once it is collected. Any later adjustment by another party, any crash or any use contrary to the manufacturer instructions may affect the Customer ability to claim under the workmanship warranty.

10. Turnaround And Delays

Estimated turnaround times are given in good faith but are not guaranteed. Wheel building, suspension servicing and electronic diagnostics can take longer than expected because they depend on parts availability, cure times, firmware releases and the condition of the Bicycle.

The Company will keep the Customer informed of significant delays and will provide a revised completion date where possible. The Company is not liable for losses arising from a delay that is outside its reasonable control, including supplier backorders, shipping disruptions, manufacturer software problems or workshop equipment failures.

If the Customer needs a Bicycle by a specific date, this must be stated at booking. The Company will confirm whether it can meet the date. Where a deadline is critical, the Customer should allow contingency rather than relying on a best case estimate.

11. Storage And Abandoned Bicycles

The Company will store a completed Bicycle for a reasonable period after notifying the Customer that it is ready for collection. Storage beyond that period may incur a daily charge, which will be stated at intake or notified before it begins.

If a Bicycle is not collected and the Customer does not respond to reasonable contact attempts, the Company may treat the Bicycle as abandoned. Where the law permits, the Company may sell the Bicycle to recover unpaid storage and Work charges, after giving written notice to the last known contact details.

Proceeds of any sale will be applied to outstanding amounts, and any balance remaining after reasonable costs will be held for the Customer or handled as required by applicable law. The Company will document its attempts to contact the Customer before taking any such step.

12. Workmanship Warranty

The Company warrants its workmanship for a period of ninety days from collection, unless a longer period is stated on the invoice. If Work performed by the Company fails because of a defect in that workmanship, the Company will inspect the Bicycle and, where the claim is valid, correct the issue at no charge for labour.

The workmanship warranty does not cover normal wear, crash damage, misuse, neglect, damage caused by another workshop, damage caused by customer supplied parts, or changes made to the Bicycle after collection. It does not extend the warranty of any manufacturer component, which remains governed by the manufacturer own terms.

To make a claim, contact the Company promptly with the invoice details and a description of the problem. The Company may ask to inspect the Bicycle before any repair by a third party, because unauthorised repair may prevent a proper assessment of the original issue.

13. Limitation Of Liability

To the fullest extent permitted by law, the Company is not liable for indirect, incidental, special or consequential losses, including lost enjoyment, lost training time, lost race entry fees, travel costs or loss of profit, arising from the services or from any delay.

Where liability cannot be excluded, the Company total liability for any claim relating to a Bicycle is limited to the amount the Customer paid for the specific Work that gave rise to the claim, or to the replacement value of the affected component, whichever is lower. This limitation does not apply to liability that the law does not permit to be limited, such as liability for death or personal injury caused by negligence.

The Customer acknowledges that bicycles are mechanical systems subject to wear, fatigue and stress, and that no workshop can guarantee that a used component will not fail. The Company advises Customers to replace consumable and safety critical parts at the intervals recommended by manufacturers.

14. Safety And Risk

Bicycle riding involves inherent risk, including the risk of injury from collisions, surface conditions, mechanical failure and errors by the rider or by others. The Company Work reduces risk where possible, but it cannot eliminate it, and the Customer accepts the inherent risks of cycling.

The Company will refuse to release a Bicycle that it believes is unsafe to ride. Where a Customer declines a recommended safety repair, the Company may record the recommendation and the decision, and may require the Customer to acknowledge in writing that the Bicycle is being collected against advice.

Safety equipment, including a correctly fitted helmet, is the Customer responsibility. The Company may offer guidance on protective equipment and riding practice, but it does not supervise riding and is not responsible for how the Bicycle is used after collection.

15. Electric And Electronic Systems

The Company services electric bicycles and electronic drivetrains within the limits of its training, tools and manufacturer authorisation. Work on batteries, motor controllers and high voltage systems is performed only where the Company is competent to do so and where the manufacturer permits independent service.

Batteries are potentially hazardous. The Company will not charge, store or service a battery that shows signs of swelling, impact damage, water ingress or overheating. The Customer must declare any battery incident before delivery. The Company may decline to accept a Bicycle with a suspect battery and will advise the Customer on safe handling.

Firmware updates and diagnostic connections are performed with the Customer agreement, as described in the Privacy Policy. Where an update fails because of a manufacturer server problem or a hardware fault that predates our Work, the Company is not responsible for the resulting loss of function, though it will assist the Customer in seeking support from the manufacturer.

16. Fitness For Purpose

The Company builds and services Bicycles for the use described by the Customer. A Bicycle set up for one purpose may be unsuitable for another, and the Customer should tell the Company how the Bicycle will be used so that components and settings suit that use.

Where a Customer requests a configuration that the Company considers unsuitable, unsafe or outside the manufacturer limits, the Company may decline the request or proceed only with a written acknowledgement from the Customer. Examples include exceeding tyre clearance, fitting a fork beyond the frame design limits or setting suspension outside the recommended range.

The Company does not guarantee that a Bicycle will be suitable for a specific event, route or competitive category. Responsibility for entering an event, and for confirming that a Bicycle meets the event rules, rests with the Customer.

17. Insurance And Claims

The Company maintains business insurance appropriate to a bicycle workshop. A Customer who believes that the Company has caused damage to a Bicycle should notify the Company promptly and provide photographs, the invoice and a description of the issue. Early notification allows the Company to inspect the Bicycle before further use or repair.

The Company will investigate every claim in good faith and will cooperate with any insurer involved. The Customer should not authorise repair of the disputed damage by another party before the Company has had a reasonable opportunity to assess it, because doing so may make the cause impossible to determine.

Where a claim is accepted, the Company may choose to repair the damage, to replace the affected component or to compensate the Customer for the reasonable cost of repair. The choice depends on the nature of the damage and the availability of parts.

18. Intellectual Property

All content on the Website, including text, page structure, styling, graphics, the wheel trueing stand illustration and the service documentation templates, is owned by the Company or used with permission. The content is protected by copyright and other intellectual property laws.

The Customer may view, download and print pages for personal, non commercial use, such as planning a service. The Customer may not copy, republish, sell, mirror or redistribute the content, or use the Company name and marks, without prior written permission.

Service records created for a Customer remain the Company business records, though the Customer may request a copy of the measurements relating to their own Bicycle. The Customer may not use the Company documentation to misrepresent work as their own or to imply an endorsement that does not exist.

19. Website Use

The Website is provided for information about the Company and its services. The Company aims to keep the content accurate and current, but it does not warrant that every page is free of error or that the site will be available without interruption.

The Customer agrees not to misuse the Website, including by attempting to gain unauthorised access, introducing malicious code, scraping content at volume, or interfering with the normal operation of the site. The Company may restrict access where misuse is detected.

Prices, service descriptions and availability shown on the Website are indicative and may change. The binding terms for any Work are those confirmed at booking and stated on the invoice, not the general descriptions published online.

20. Force Majeure

The Company is not liable for a failure or delay in performing its obligations caused by events beyond its reasonable control. Such events include natural disasters, severe weather, fire, flood, pandemic, government action, war, civil unrest, labour disputes, supplier failures, transport disruption and widespread utility or network outages.

Where a force majeure event occurs, the Company will notify the Customer as soon as reasonably possible and will take reasonable steps to reduce the impact. If the event continues for an extended period, either party may end the affected arrangement, and the Customer will pay for Work already completed and parts already ordered.

The Company will store a Bicycle safely during a force majeure event where it is able to do so, and will communicate a revised collection plan once normal operations resume.

21. Disputes And Governing Law

The Company prefers to resolve concerns directly and quickly. If a dispute arises, the Customer should contact the Company first with a clear description of the issue and the outcome sought, and the Company will respond promptly and work in good faith toward a fair resolution.

If a dispute cannot be resolved through discussion, the parties may agree to mediation before pursuing other remedies. Mediation is voluntary, confidential and intended to avoid the cost and delay of formal proceedings.

These terms are governed by the laws of the State of Utah and the applicable laws of the United States, without regard to conflict of law rules. Subject to any mandatory consumer protection provisions, the courts located in Utah have jurisdiction over any matter that proceeds to litigation.

22. Changes To These Terms

The Company may update these terms to reflect changes in its services, its practices or the law. The current version is published on the Website with a version date, and the version in force at the time of booking governs that engagement.

Material changes will be highlighted on the Website, and where a change significantly affects existing customers the Company will provide reasonable notice. Continued use of the Website or continued engagement of services after an update indicates acceptance of the revised terms.

If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force, and the unenforceable provision will be replaced by an enforceable provision that best reflects the original intent.

These Terms of Service, together with the Privacy Policy and any written Quotation or invoice, form the whole agreement between the Customer and the Company for the services described. They replace any earlier discussion, representation or understanding on the same subject.
